General terms and conditions
The Customer / Homeowner signatures (including electronic signatures) on estimates, program enrollments, or authorization documentation indicate that they have read and agree to the Terms & Conditions.
Hold Harmless and Limitation of Liability: Client agrees to indemnify, defend, and hold harmless Aerial AI Solutions, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) any actions or omissions of subcontractors selected by Client, or any third-party contractors engaged by Client; (b) any defects, failures, or damages to property or persons resulting from the work performed by such subcontractors or third-party contractors; (c) any financial, physical, or other liabilities whatsoever arising from or related to Aerial AI Solutions' consulting services, including but not limited to, our recommendations of subcontractors or other third parties; and (d) Client's use of or reliance on any information, data, or recommendations provided by Aerial AI Solutions. Client understands and agrees that Aerial AI Solutions acts solely as a provider of visual data analysis and recommendations, and does not perform any construction, installation, repair, or physical work on Client's property, nor does it guarantee the performance, quality, or financial solvency of any third-party contractors recommended or selected by the Client. The selection and engagement of all contractors remains the sole responsibility of the Client.
Insurance: Aerial AI Solutions Roofing reserves the right to request supplemental insurance payments for project management items, including overhead and profit, related to managing a customer’s insurance claim. Customer authorizes Aerial AI Solutions to act as an authorized representative to the insurance company regarding this scope of work and payment, and receive and disburse all insurance proceeds related to the roof replacement. This authorization specifically includes the right to provide information about the damage, discuss potential coverage, obtain necessary approvals for claim filing, and receive and review all relevant documents. If for any reason, Customer receives a check from the insurance company, made payable to Customer, Customer agrees to pay Aerial AI Solutions immediately upon receipt of the check. In order to expedite payment to Aerial AI Solutions, Customer hereby appoints Aerial AI Solutions as attorney-in-fact, and authorizes Aerial AI Solutions to endorse Customers name on Insurance Company checks or drafts, and to deposit Insurance Company checks or drafts for services provided.
Entire Agreement: the written contract that references these terms is the complete and final understanding between us. It replaces any previous discussions, promises, or agreements we may have had, whether spoken or written.
Any documentation provided by Aerial AI Solutions, including this agreement, is considered confidential and proprietary, and may not be shared with anyone, including your insurance company, without the express written consent of Aerial AI Solutions.
Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration in the state of Alabama.
SkyGuard Roof Protection Program - Terms and Conditions:
This document outlines the terms and conditions ("Agreement") governing your participation in the SkyGuard Roof Protection Program ("Program") offered by Aerial AI Solutions ("Aerial AI"). By enrolling in or otherwise utilizing the Program, you ("Client," "Homeowner," or "You") agree to be bound by these terms and conditions.
1. Program Overview
The SkyGuard Roof Protection Program provides residential homeowners with complimentary annual and post-severe weather inspections of asphalt shingle roofs using advanced drone technology and Artificial Intelligence (AI) image analysis. The Program aims to proactively identify potential roof damage, particularly from severe weather events like hail, and facilitate informed decisions regarding roof maintenance and replacement.
2. Inspection Services and Frequency
2.1. Annual Inspections: While Aerial AI Solutions is under no obligation to complete every inspection, we will make every reasonable attempt to perform one (1) complimentary drone-based roof inspection of the Client's enrolled property annually and to complete it in a timely manner, subject to weather conditions, drone pilot availability, and reasonable scheduling.
2.2. Post-Severe Weather Inspections: Similarly, following any severe weather event in the Client's area that includes significant hail, as determined by Aerial AI's internal assessment of weather data, Aerial AI will make every reasonable attempt to offer or perform a complimentary drone-based roof inspection and to complete it in a timely manner. Such inspections are subject to weather conditions and drone pilot availability.
2.3. Inspection Scope: Inspections will focus on identifying visible signs of roof damage, with a particular emphasis on damage consistent with severe weather, such as hail. The inspection is a visual assessment and AI analysis of the roof's exterior surface and does not involve intrusive testing or assessment of underlying structures or internal components of the roof system unless visible from the exterior.
3. Exclusivity of Inspection Services
3.1. Aerial AI Solutions' Exclusivity: For the duration of the Client's enrollment in the SkyGuard Roof Protection Program, Client agrees that Aerial AI Solutions shall be the exclusive provider permitted to conduct drone-based roof inspections for the purpose of assessing hail damage on the enrolled property. Client acknowledges that this exclusivity is integral to the Program's value proposition, allowing Aerial AI to maintain consistent data and assessment standards.
4. Exclusive Roof Replacement Partner
4.1. Pay-It-Forward Roofing's Exclusivity: Should Aerial AI's inspection and analysis identify qualifying hail damage that necessitates a roof replacement and involves an insurance claim, Client agrees that Pay-It-Forward Roofing shall be the exclusive roofing contractor permitted to perform the roof replacement services on the enrolled property in connection with such a claim. Client acknowledges that this partnership ensures a seamless, high-quality transition from detection to restoration.
5. Right of Entry
5.1. Access to Property: By enrolling in the Program, Client grants Aerial AI Solutions, its authorized drone pilots, and personnel a non-exclusive, revocable license to enter upon the Client's property as reasonably necessary to perform the agreed-upon roof inspection services. This right of entry includes, but is not limited to, the operation of drones on or over the property. Aerial AI will make reasonable efforts to coordinate scheduling with the Client and minimize disruption.
6. Client Responsibilities
6.1. Safe Access: Client agrees to provide safe and clear access to the property for Aerial AI personnel and drones to conduct inspections. This includes ensuring pets are secured, gates are unlocked, and any potential hazards are communicated prior to the inspection.
6.2. Notification of Other Work: Client agrees to notify Aerial AI Solutions if any other roofing work, repairs, or inspections are performed on the roof by third parties, as this may impact the validity or scope of future SkyGuard inspections.
6.3. Property Maintenance: Client remains solely responsible for the general maintenance and upkeep of their roof and property. The Program is not a substitute for regular maintenance or immediate repairs of non-weather-related issues.
7. Data Usage and Privacy
7.1. Imagery and Data Collection: Client acknowledges and agrees that Aerial AI Solutions will collect visual imagery and data of the Client's roof and property during inspections. This data will be used for the purpose of performing roof damage analysis, providing reports to the Client, improving Aerial AI's AI analysis capabilities, and for internal business purposes.
7.2. Data Sharing: Aerial AI Solutions may share relevant inspection data and findings with roofing companies for the purpose of facilitating roof replacement services as outlined in Section 4.1., or with other third parties for internal business purposes without Client's express consent, except as required by law.
7.3. Privacy: Aerial AI Solutions will take reasonable measures to protect the privacy of the Client and their property during drone operations and data handling, adhering to applicable privacy laws and regulations.
8. Hold Harmless and Limitation of Liability
8.1. Client agrees to indemnify, defend, and hold harmless Aerial AI Solutions, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) any actions or omissions of roofing subcontractors selected by Client, or any third-party contractors engaged by Client (other than Pay-It-Forward Roofing, where their liability is governed by their own separate agreement with Client); (b) any defects, failures, or damages to property or persons resulting from the work performed by such roofing subcontractors or third-party contractors; (c) any financial, physical, or other liabilities whatsoever arising from or related to Aerial AI Solutions' consulting services, including but not limited to, our recommendations of roofing subcontractors or other third parties; and (d) Client's use of or reliance on any information, data, or recommendations provided by Aerial AI Solutions.
8.2. Client understands and agrees that Aerial AI Solutions acts solely as a provider of visual data analysis and recommendations for roof damage and does not perform any construction, installation, repair, or physical work on Client's property. Aerial AI Solutions does not guarantee the performance, quality, or financial solvency of any third-party contractors, including Pay-It-Forward Roofing, as their services are governed by separate agreements between the Client and said contractors. The ultimate decision and engagement of all contractors, even if exclusive under this Program, remains the sole responsibility of the Client, and Client will enter into a separate, direct contract with Pay-It-Forward Roofing for any roof replacement services.
8.3. Limitation of Aerial AI Solutions' Liability: In no event shall Aerial AI Solutions be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to, loss of profits, data, or use, whether in an action in contract, tort (including negligence), or otherwise, arising out of or in any way connected with the Program or the services provided hereunder, even if Aerial AI Solutions has been advised of the possibility of such damages. Aerial AI Solutions' total cumulative liability to Client for any and all claims arising from or relating to this Agreement shall not exceed the sum of Zero US Dollars ($0.00).
9. Term and Termination
9.1. Term: This Agreement shall commence upon Client's enrollment in the Program and shall continue on an annual basis unless terminated earlier as provided herein.
9.2. Termination by Client: Client may terminate their participation in the Program at any time by providing written notice to Aerial AI Solutions.
9.3. Termination by Aerial AI Solutions: Aerial AI Solutions reserves the right to terminate Client's participation in the Program at any time, for any reason, by providing written notice to the Client. Reasons for termination may include, but are not limited to, Client's breach of these terms, safety concerns, or changes in Program availability.
9.4. Effect of Termination: Upon termination, Aerial AI Solutions will cease future inspection services under the Program. Sections 7 (Data Usage and Privacy) and 8 (Hold Harmless and Limitation of Liability) shall survive any termination of this Agreement.
10. Governing Law
10.1. This Agreement shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law principles.
11. Dispute Resolution
11.1. Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved through good faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may pursue binding arbitration in the state of Alabama.
12. Entire Agreement
12.1. This Agreement constitutes the entire agreement between Client and Aerial AI Solutions regarding the SkyGuard Roof Protection Program and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
13. Severability
13.1. If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
